End User License Agreement (EULA)
Last updated: October 13, 2026
1. Agreement to Terms
This End User License Agreement (“Agreement”) governs access to and use of the review-request automation service provided by Paul Raymond Francis (“Company,” “we,” “us,” or “our”), including associated software, workflows, integrations, websites, and related services (collectively, the “Service”).
By subscribing to, accessing, configuring, or using the Service, you (“Customer,” “you,” or “your”) agree to this Agreement. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these terms.
If you do not agree, do not use the Service.
2. Description of the Service
The Service helps businesses automate customer follow-ups and send invitations requesting honest feedback or reviews on platforms such as Google.
Depending on your subscription and configuration, the Service may connect with business software, process relevant customer or transaction information, and initiate messages through third-party messaging providers.
The Company may modify, improve, suspend, or discontinue features from time to time, subject to applicable law and any separate written agreement.
3. License Grant
Subject to this Agreement and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during your subscription term.
You may not resell, redistribute, sublicense, reverse engineer, copy, or create derivative works from the Service except where expressly permitted by law or authorized in writing by the Company.
All rights not expressly granted in this Agreement are reserved by the Company and its licensors.
4. Customer Responsibilities
You agree to:
- Provide accurate business and account information.
- Use the Service only for lawful purposes.
- Ensure you have the necessary rights, permissions, notices, and legal basis to provide customer information to the Service.
- Obtain any consent required before sending automated SMS messages, emails, or other communications.
- Honor applicable opt-out requests and maintain accurate suppression lists.
- Ensure that review invitations and related messaging comply with applicable laws and the policies of Google and other relevant platforms.
- Use integrations only with accounts you own or are authorized to connect.
- Protect your account credentials and promptly notify us of suspected unauthorized access.
- Review automation settings and test workflows before using them with actual customers.
- Notify us if you believe the Service is sending incorrect, duplicate, or unauthorized messages.
You are responsible for the customer data, message content, review links, and business rules you configure or authorize.
5. Prohibited Uses
You may not use the Service to:
- Generate, purchase, fabricate, or manipulate reviews.
- Impersonate customers or submit reviews on their behalf.
- Offer prohibited incentives in exchange for reviews.
- Selectively solicit only positive reviews or discourage negative feedback in a manner that violates applicable platform policies.
- Send unlawful, deceptive, harassing, or unauthorized communications.
- Circumvent opt-outs, messaging restrictions, or platform safeguards.
- Access third-party systems without authorization.
- Upload malicious code or interfere with the security, reliability, or operation of the Service.
- Violate applicable privacy, consumer protection, electronic messaging, or data protection laws.
We may suspend or terminate access if we reasonably believe you have violated these restrictions.
6. Third-Party Services and Integrations
The Service may rely on third-party products or platforms, including QuickBooks Online, Google, n8n, Twilio, hosting providers, and other integration or messaging services.
Your use of those services may be governed by separate terms, policies, fees, and technical requirements.
The Company does not own or control these third-party services and is not responsible for their independent availability, decisions, policy changes, or actions, except to the extent responsibility cannot be excluded under applicable law.
A third-party provider may change its API, permissions, pricing, or policies in ways that affect Service functionality. We do not guarantee that any integration will remain available indefinitely.
You authorize the Company to access and process the information reasonably necessary to provide the features you have enabled and authorized.
7. Google Reviews and No Guarantee of Results
The Service provides tools to request reviews. It does not control Google's review platform or determine whether a review is published, removed, displayed, or included in a business's rating.
We do not guarantee any number of reviews, positive ratings, improved rankings, increased revenue, or other business results.
Customers must be free to provide honest feedback. The Service must not be used to create fake reviews, suppress legitimate negative feedback, or manipulate review ratings.
Google may change its policies or take action against reviews or business profiles. The Company is not responsible for decisions made independently by Google, subject to applicable law.
8. Fees, Billing, and Subscription Terms
The fees, billing frequency, subscription term, and cancellation terms applicable to your use of the Service will be disclosed at the time of purchase or in a separate order form or written agreement.
Unless otherwise stated in the applicable subscription terms, fees are payable in advance and are non-refundable to the extent permitted by law.
You authorize the applicable payment provider to charge the payment method you provide for fees due under your subscription.
If payment is overdue, we may suspend access after reasonable notice where appropriate. You remain responsible for fees incurred before suspension or termination.
9. Privacy and Customer Data
Our collection and use of personal information are described in our Privacy Policy, available at [https://workflowautomations.app/privacy-policy].
As between you and the Company, you retain your rights to the business and customer information you provide, subject to the rights necessary for us and our service providers to operate the Service.
You grant the Company a limited right to process that information solely as reasonably necessary to provide, maintain, secure, and support the Service, comply with law, and carry out your authorized instructions.
You represent that you have the rights and authority necessary to provide the information and authorize this processing.
You must not submit information that you are not authorized to share. You should not submit sensitive personal information unless the Service expressly supports it and you have an appropriate legal basis to do so.
Our retention and deletion practices are described in the Privacy Policy and may also be governed by a separate written agreement.
10. Confidentiality and Security
Each party may receive non-public information from the other party in connection with the Service. The receiving party agrees to use reasonable care to protect such information and to use it only for purposes related to the parties' relationship, subject to applicable law and any separate confidentiality agreement.
The Company will use reasonable measures intended to protect information processed through the Service. However, no software, network, or storage system can be guaranteed completely secure.
You are responsible for the security of your own accounts, devices, and access credentials.
11. Intellectual Property
The Service, including its software, workflows, designs, documentation, branding, and related materials, is owned by or licensed to the Company and is protected by applicable intellectual property laws.
This Agreement does not transfer ownership of the Service to you.
You may provide suggestions or feedback about the Service. Unless otherwise agreed in writing, the Company may use such feedback to improve its offerings without compensation or restriction, provided it does not disclose your confidential information in doing so.
12. Availability, Maintenance, and Changes
We will make reasonable efforts to operate the Service, but we do not guarantee uninterrupted, error-free, or continuous availability.
The Service may be unavailable because of maintenance, outages, integration failures, third-party changes, internet connectivity issues, or circumstances beyond our reasonable control.
Automations can fail, run late, process incomplete data, or be affected by third-party systems. You are responsible for monitoring your business operations and promptly reporting material issues.
You should not rely on the Service as the sole means of delivering legally required notices or other communications for which a missed or delayed message could cause material harm.
13. Suspension and Termination
You may stop using the Service and cancel your subscription in accordance with the applicable subscription terms.
The Company may suspend or terminate your access if you materially breach this Agreement, fail to pay amounts due, misuse the Service, create a security risk, or use the Service in a way that may violate law or third-party policies.
Where reasonable and legally permitted, we will provide notice and an opportunity to address the issue before suspension or termination.
Upon termination, your license to use the Service ends. We may disable integrations and delete or retain information in accordance with the Privacy Policy, applicable law, and any separate written agreement.
Provisions that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, outstanding fees, disclaimers, limitations of liability, and dispute resolution.
14. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.”
The Company disclaims warranties not expressly stated in this Agreement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent such warranties may legally be disclaimed.
The Company does not warrant that the Service will be uninterrupted, error-free, compatible with every third-party platform, or capable of achieving a particular business outcome.
Nothing in this Agreement excludes a warranty or right that cannot legally be excluded.
15. Limitation of Liability
To the maximum extent permitted by law, Paul Francis will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data arising from or relating to the Service.
To the maximum extent permitted by law, the Company's total aggregate liability arising out of or relating to the Service or this Agreement will not exceed the fees paid by you to the Company for the Service during the three months immediately preceding the event giving rise to the claim.
These limitations apply regardless of the legal theory asserted and even if a remedy fails of its essential purpose.
Nothing in this Agreement limits liability where such limitation is prohibited by applicable law, including any liability that cannot legally be excluded or limited.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Paul Francis, employees, and agents from third-party claims, liabilities, damages, and reasonable expenses arising from your unlawful use of the Service, your breach of this Agreement, your customer data or message content, or your failure to obtain legally required permissions or consents.
This provision does not apply to the extent a claim results from the Company's own conduct for which you cannot legally be required to indemnify it.
Paul Francis will provide reasonable notice of a covered claim and cooperate, at your expense, in its defense. You may not settle a claim in a way that imposes an obligation or admission on the Company without its prior written consent.
17. Changes to This Agreement
We may update this Agreement from time to time. We will post the updated version on our website and revise the “Last Updated” date.
Where required by law, we will provide notice of material changes or obtain your consent. Your continued use of the Service after an update becomes effective constitutes acceptance where permitted by law.
If you do not agree to a material change, you should stop using the Service and cancel your subscription in accordance with the applicable terms.
18. Governing Law and Disputes
This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.
The parties agree to seek in good faith to resolve disputes informally before initiating legal proceedings. If a dispute cannot be resolved informally, it will be handled by a court of competent jurisdiction in Florida, subject to applicable law.
Nothing in this section prevents either party from seeking urgent injunctive relief where legally available.
19. General Terms
This Agreement, together with any applicable order form and the Privacy Policy, constitutes the agreement between you and the Company concerning the Service, except where a separate written agreement expressly governs.
If any provision is found unenforceable, the remaining provisions will remain in effect to the extent legally permitted.
You may not assign this Agreement without the Company's written consent, except where applicable law provides otherwise. The Company may assign this Agreement in connection with a merger, reorganization, or sale of substantially all relevant assets, subject to applicable law.
A failure to enforce a provision is not a waiver of that provision.
